r. Waite earned his A.B. (cum laude) in 1975 from Harvard College, Cambridge, Massachusetts and his J.D. in 1980 from
The University of San Diego Law School, San Diego, California. Mr. Waite joined the firm in 1981.

His practice emphasizes business and real estate litigation and transactional work. Litigation practice emphasizes professional liability litigation, securities litigation, construction defect litigation, fraud, usury, rent and profit receiverships, title insurance litigation, injunctions, unlawful detainer, real estate brokerage disputes, fire loss litigation, breaches of purchase and sale agreements, specific performance and land use litigation, employment disputes, involuntary corporation dissolutions, election law violations, insurance disputes, bank fiduciary litigation, sexual harassment litigation, and products liability litigation.  Mr. Waite represented many of the seriously injured victims of the Jack In the Box (1993) and Pat & Oscar’s (2003) E. coli outbreaks.

Real estate transactional work includes negotiation and documentation of real estate purchase and sale agreements, secured transactions, leases, ground leases, options, formation of general partnerships, limited partnerships and limited liability companies, Internal Revenue Code § 1031 Exchanges, land use counseling, development agreements and cotenancy agreements and experience representing foreign nationals in real estate transactions.

Business transactional work includes corporate counseling, employment agreements, independent contractor agreements, stock and asset sale of businesses, stock purchase agreements.  Mr. Waite lectures frequently before the San Diego Association of Realtors and other Realtor organizations.  Mr. Waite has acted as a mediator and expert witness in real property litigation matters.
